PiezoMotor genomför en riktad nyemission och tillförs 25 MSEK

PiezoMotor Uppsala AB (publ) (“PiezoMotor” eller ”bolaget”) har, med stöd av det bemyndigande styrelsen erhöll på årsstämman den 3 maj 2019, beslutat om en riktad kontant nyemission om 1 008 064 aktier av serie B till en teckningskurs om 24,80 SEK per aktie. Teckningskursen har fastställts av Bolagets styrelse och motsvarar dagens stängningskurs. Genom den riktade nyemissionen tillförs Bolaget cirka 25 MSEK före emissionskostnader, vilka bedöms uppgå till mindre än 100 000 SEK.

Skälet till avvikelsen från aktieägarnas företrädesrätt är att på ett tids- och kostnadseffektivt sätt genomföra en kapitalanskaffning vilken kommer användas för att finansiera Bolagets fortsatta tillväxt och försäljningsexpansion. Styrelsen bedömer att teckningskursen har säkerställts marknadsmässigt.

Genom den riktade nyemissionen kommer det totala antalet aktier och röster i Bolaget att öka med 1 008 064 från 14 471 906 till 15 479 970. Aktiekapitalet ökar med 504 032 SEK från 7 235 953 SEK till 7 739 985 SEK. Nyemissionen medför en utspädningseffekt för existerande aktieägare om cirka 6,5 procent baserat på det totala antalet aktier och röster i PiezoMotor efter nyemissionen. De nya aktierna berättigar till vinstutdelning första gången från det att de införts i den av Euroclear Sweden förda aktieboken.

Lyckegård Group AB (publ) genomför villkorad överlåtelse av aktier i Lyckegård Soil & Seed AB

Lyckegård Group AB (publ), org.nr 556757-7597, (”Lyckegård” eller ”Bolaget”) har idag genomfört överlåtelse av 80 procent av aktierna i Lyckegård Soil & Seed AB, org.nr 556136-8035, (jämte andelarna i dess dotterföretag Lyckegård Finland Oy AB, FO-nr 2603583-4).

 

Som kommunicerats genom pressmeddelande den 13 mars 2024 har Lyckegård ingått ett avtal varigenom Bolaget överlåter 80 procent av aktierna i Lyckegård Soil & Seed AB (jämte andelarna i dess dotterföretag Lyckegård Finland Oy AB). Avtalet villkorades bland annat av att överlåtelsen godkändes genom beslut vid extra bolagsstämma i Bolaget. Sedan det vid en extra bolagsstämma i Bolaget den 28 mars 2024 fattades beslut att godkänna överlåtelsen har Bolaget och köparna konstaterat att samtliga villkor för överlåtelsen är uppfyllda. Lyckegård har frånträtt och köparna har tillträtt aktierna den 28 mars 2024.

The rights issue of units that was announced on 12 December 2023 (the “Rights Issue”) in Qlife Holding AB (“Qlife” or the “Company”) has been registered with the Swedish Companies Registration Office (Sw.
