4 April 2024 – North Investment Group AB (publ) (the “Company”) announces that it is launching a written procedure (the “Written Procedure”) to the holders of its SEK 285,000,000 Senior Secured Floating Rate Bonds with ISIN SE0015938493 (the “Bonds”) to request the bondholders’ consent to certain amendments to the terms and conditions of the Bonds dated 29 April 2021 (the “Bond Terms”) as set out in the notice of written procedure dated 4 April 2024 (the “Notice of Written Procedure”). The information in this announcement is subject to and qualified by the Notice of Written Procedure.

Capitalised terms used but not defined are used with the meanings given to them in the Bond Terms or the Notice of Written Procedure, as the case may be.

Nordic Trustee & Agency AB (publ) acts as agent and security agent (the “Agent”) for the Bonds and has been instructed to send the Notice of Written Procedure to holders directly registered as of 3 April 2024 in the debt register (Sw. skuldbok) kept by the CSD. The record date for being eligible to vote is on 9 April 2024 and the deadline for voting is at 12:00 CEST on 30 April 2024. As set out in the Notice of Written Procedure, the Issuer has requested the Agent to initiate the Written Procedure where the bondholders agree to certain amendments to the terms of the Bonds (the “Amendments”).
